The economic business operations of the ZELLCHEMING Association will be outsourced to a GmbH (limited liability company) in the coming months, while the non-profit part will remain. This is the result of a survey by postal vote with the possibility of online voting: A clear majority (64.34 %) of ZELLCHEMING members expressed their support on the cut-off date 31 July 2020 for a clear separation of voluntary association life and economic activities in future.
Gerrit Lund, 1st Chairman of the ZELLCHEMING Association says: "I am very pleased about the very good response and the clear result. It shows that our members support us on our way".
The tax-separated administration of the non-profit and economic part of the association's activities has so far required a lot of time for financial processing and documentation. So the desire arose to outsource the economic business operations to a GmbH.
The overriding goal is to establish the ZELLCHEMING Association, which has been in existence for more than 115 years, in a stable and secure position for the coming decades. The separation will remove the economic dominance from the organisational structure and strengthen the "voluntary association life". The association will be able to focus more strongly on scientific and technical work, thus sharpening its profile as an important link between research and industry and fulfilling this role more intensively.
However, the ZELLCHEMING Association is a 100% shareholder of the GmbH and thus retains control of the outsourced subsidiary to the desired extent. The GmbH in turn provides services for Verein ZELLCHEMING and invoices it for these services.
Petra Hanke, Managing Director of Verein ZELLCHEMING, explains: "The unambiguous and clear allocation will allow us to work out the objectives for Verein as well as for the GmbH more precisely and to react more agilely to developments and requirements. As a result, new possibilities for success control will arise. And: "We hope that the important specialist work carried out at ZELLCHEMING can be communicated more effectively to the outside world. For many years, the image of the Expo has overlaid the perception of the association. The separation between GmbH and association will make the latter more prominent again. This means an important setting of the course for the future!
